General Information and Use
Members Only Access
Many features of this site are available only to Members of the Center. This includes the board, staff members, and volunteers of any current Member of the Center. Members can register to use the site here.
Viewing Your Organization and Individual Profiles
If you're a registered user of the website, then you can view your individual and organizational profile(s). Each user has his/her own profile with pertinent information about you, which you can change yourself whenever you want. Your organization also has a profile, which is provided and updated by the primary contact in your organization (usually the ED/CEO). View your profile here.

Our Focus
The Center's focus is to serve nonprofit organizations in North Carolina. Therefore, our priority is to respond to inquiries from North Carolina nonprofits. We do not provide technical assistance services to those outside North Carolina. However, you may order publications, resources, and webinars, or become an Associate. If you are an out-of-state nonprofit, contact the National Council of Nonprofits for information about your state association.

Acceptance of Terms
By accessing the Center's website, www.ncnonprofits.org, including all information, documents, communications, files, text, graphics, software, and products available through the website, you agree to the following terms. If you do not wish to be bound by these terms and conditions, you may not access or use the website. If you breach any of the Terms of Use, your authorization to use this website automatically terminates, and any materials downloaded or printed from the website in violation of the Terms of Use must be immediately destroyed.
Modifications
We may amend these Terms of Use from time to time; please review them periodically. We maintain the option to modify these Terms of Use at any time by electronic notice posted on our website. Your continued use of our website after the date that such notices are posted will be deemed to be your agreement to the changed terms.
Nature of Materials
All materials on www.ncnonprofits.org are samples that have been provided in order to advance the public interest for educational and guidance purposes only. They are not standard or model forms and should not be used as such. These documents have been created to meet unique program needs of nonprofits, and the actual content of a particular document may not be appropriate for your organization. The Center accepts no responsibility or liability for incorrect or misleading information or its use as obtained through the Internet. Indemnification and Governing Law

General
The Terms of Use and the other rules, guidelines, licenses, and disclaimers posted on www.ncnonprofits.org constitute the entire agreement between the Center and you with respect to your use of our website. If for any reason a court of competent jurisdiction finds any provision of the Terms of Use, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties as reflected by that provision, and the remainder of the Terms of Use shall continue in full force and effect. Any failure by the Center to enforce or exercise any provision of the Terms of Use or related right shall not constitute a waiver of that right or provision. The section titles used in the Terms of Use are purely for convenience and carry with them no legal or contractual effect.
Privacy Policy
As a nonprofit organization, the North Carolina Center for Nonprofits ("Center") places a high priority on protecting your privacy. This privacy policy was created in order to demonstrate the Center's commitment to the privacy of our Members and other website visitors. This policy explains what types of information is collected by the Center's website, www.ncnonprofits.org, and how this information is used.
What Personally Identifiable Information is Collected
Center Members and other website visitors that register to use www.ncnonprofits.org voluntarily provide us with contact information (such as name and e-mail address). We use this information internally for providing personalized service and for monitoring website traffic.
Credit Card Account Information
The Center utilizes secure transaction methods (SSL) when collecting credit card information over the Internet. The Center does not disclose to third parties credit card account information provided by its Members or other website visitors.
Internet Protocol (IP) addresses
The Center uses your Internet Protocol (IP) address for statistical metrics used to track website visitor traffic.
Cookies
Cookies are small bits of code that are sent to your computer when you logon to a website that allows us to identify you when you return to the site. The Center uses "cookie" messages to automatically help provide better services. They remind us who you are and your preferences for our website based on what you've done and told us before. The "cookie" is placed on your computer and is read when you come back to our website. Cookies let us take you to the information and features you're particularly interested in. They also let us track your usage of www.ncnonprofits.org, so we know which parts of our sites are most popular. You can reject cookies or cancel them by instructing your web browser accordingly.
How Your Information May Be Used
We use your personal information to provide you with personalized service; to send e-mail alerts to you; to answer your requests; to process your membership application; etc. You may choose to opt out at any time, which will cease communications from us. You may do so here. We may also use your information to track your visits to our website. This lets us see which of our features are the most popular so we can better serve our users' needs.
Electronic Newsletter
We send an electronic newsletter, Connect & Learn, and Public Policy Updates on a regular basis to our Members. The newsletters are sent to your preferred address. You may choose to opt out at any time, which will cease communications from us. You may do so here or by clicking the link provided in every newsletter.
Listservs and Forums
Center Members are encouraged to join our discussion forums as a way to communicate with their peers. Participation is optional and is restricted to current Members. Users of listservs and forums agree to use these for lawful purposes and are prohibited from posting on the any unlawful, harmful, threatening, abusive, harassing, defamatory, or obscene material of any kind, including, but not limited to, any material which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law. This applies to any posting that could be termed as Sexual Harassment and/or Discrimination.
Survey and Polls
From time to time, we may offer surveys and/or interactive polls to users so they can share their opinions with others users, see what our users think about important issues, or to better target our content. Participation in the surveys and/or polls is optional. Opinions and responses are not identifiable to any particular user. We may share aggregated demographic information with partners or supporters. We never share any information about specific individuals with any third party.
Modifications
We may amend this privacy policy from time to time; please review it periodically. We maintain the option to modify this policy at any time by electronic notice posted on our website. Your continued use of our website after the date that such notices are posted will be deemed to be your agreement to the changed terms.

Membership Agreement
This agreement sets for the terms and conditions of membership in the Center. By clicking the checkbox next to the “I agree to the Center's Membership Agreement” field, members agree to the following:
Membership Dues
Member nonprofit agrees to pay membership dues to the Center in the amount set forth in the current dues schedule (include link), which is linked hereto and incorporated by reference as a part of this agreement. For purposes of membership dues, Member nonprofit agrees to pay dues based on annual expenses stated on the relevant line of its most-recent IRS Form 990, Form 990-EZ, or Form 990-N.
Membership Benefits
As part of its membership in the Center, Member nonprofit is entitled to a wide range of benefits that are included as part of its membership in the Center and/or that are provided at a reduced cost through its membership in the Center. For a full list of these benefits, see the List of Center Member Benefits (link to web page that lists all member benefits), which is linked hereto and incorporated by reference into this agreement. Member benefits are available to staff, board members, and volunteers of Member nonprofit while serving in their capacity with Member nonprofit. Member nonprofit agrees that it shall not share any member benefits with individuals or organizations other than its staff, board members, contractors, and volunteers without the prior written approval of the Center. To the extent that Member nonprofit allows independent contractors access to member benefits, Member nonprofit shall take steps to ensure that such contractors only use member benefits for services provided on behalf of Member nonprofit and that such contractors do not use member benefits for their own business purposes, for business development, or for the benefit of other clients. Member nonprofit further agrees that it shall not reproduce, sell, redistribute, or make commercial use of any materials that it receives as a member of the Center for commercial purposes without the prior written consent of the Center.
Contact Information
The Center shall send membership communications to the primary contact of Member nonprofit who is the designated person who is authorized to vote on behalf of Member nonprofit. The name and email address of Member nonprofit’s primary contact is provided during initial application, and can be updated during each renewal period.
Member nonprofit agrees that it shall provide written notice to the Center at info@ncnonprofits.org of any change to the name or email address of its primary contact during the term of this agreement.
Member Meetings and Voting
Member nonprofit shall be entitled to participate in the Center’s annual meeting of members and any special meetings of members that are held during the term of this agreement. Member nonprofit shall be represented by the primary contact or their designee at any such meetings of members of the Center. Member nonprofit shall have one vote at any meeting of members of the Center and in any votes of members conducted by electronic voting outside of meetings. The Center shall provide written notice of the time and location for all in-person meetings of members and login information for all remote meetings of members and shall provide written instructions for any electronic votes of members conducted outside of meetings. Such notice shall include information for voting by proxy, information on accessing the membership list for meetings, and contact information for additional questions that Member nonprofit may have for Center about the meeting or vote.
Use of Membership List
Under the North Carolina Nonprofit Corporation Act, Member nonprofit is entitled to access the full membership list of the Center, including contact information for each organization that is a member of the Center. Member nonprofit agrees that, without prior written approval from the Center, it shall not use this list for any commercial purpose, for fundraising purposes, for recruitment purposes, or for advocacy purposes and that it may not use this list for any reason that would be harmful to North Carolina’s nonprofit sector or contrary to the mission of the Center.
Limitation of Liability
Member nonprofit agrees that it shall not hold the Center liable for any injury or damages that may be incurred through its membership in the Center. In the event that Member nonprofit seeks damages for any action or inaction of the Center, such damages shall be limited to the refund of the amount paid for membership dues and, if applicable, the amount paid for other services provided to Member nonprofit by the Center, unless such action or inaction was caused by the gross negligence or willful misconduct of the Center or its staff or board members.
Term and Termination
The term of this agreement and Member nonprofit’s membership in the Center begins upon the execution of this agreement and continues for one year from that date. Member nonprofit shall be a member of the Center for the duration of the term of this agreement unless its membership is terminated or suspended. Pursuant to the Center’s Bylaws, the Center’s Board of Directors may terminate or suspend the membership of any nonprofit organization if it determines that continued membership of the nonprofit organization is detrimental to the Center, its mission, or North Carolina’s nonprofit sector or that the nonprofit organization does not currently meet the qualification for membership. The Board shall provide written notice of any decision to terminate or suspend a membership to the written email address of record of Member nonprofit. Such notice shall include the reason for termination or suspension of membership. Member nonprofit shall have the right to challenge any termination or suspension of its membership and may exercise this right by sending written notice, along with any additional information it deems appropriate, to the Chair of the Board within thirty calendar days of receipt of the date of its notice of termination or suspension. Upon receipt of any such challenge, the Board of Directors shall conduct a vote to reconsider the termination or suspension, taking into consideration any additional information provided by the member, at its next regularly scheduled meeting. The Board’s vote on any reconsideration of termination or suspension of a membership shall be final.
